Effective Date: 6/09/2026These Terms and Conditions (“Terms”) govern your access to and use of the Rooted: Daily Prayer mobile application and related services (collectively, the “App” or “Service”), operated by Baiano Co. LLC (“Baiano Co.,” “we,” “us,” or “our”).By downloading, installing, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.1. Eligibility
You must be at least 13 years of age to use the App. If you are under 18, you represent that you have permission from a parent or legal guardian. The App is not intended for children under 13, and we do not knowingly permit such use.You represent that you have the legal capacity to enter into these Terms and that your use of the App complies with all applicable laws.2. The Service
Rooted: Daily Prayer provides faith-based content and tools, which may include guided prayer, devotional plans, Bible reading features, journaling, prayer tracking, streaks, audio read-aloud features, and related functionality.We may add, modify, suspend, or discontinue any part of the Service at any time, with or without notice, in our sole discretion.3. No Professional, Medical, or Religious Advice
THE APP IS FOR INSPIRATIONAL, EDUCATIONAL, AND PERSONAL SPIRITUAL USE ONLY.The App does not provide medical, mental health, legal, pastoral, counseling, or professional advice of any kind. Content in the App—including prayers, devotionals, Scripture excerpts, plans, and suggestions—is provided for general informational and devotional purposes only.You are solely responsible for your spiritual, emotional, and physical well-being and for seeking appropriate professional help when needed. Never disregard professional advice or delay seeking it because of something you read or hear in the App.Baiano Co. does not guarantee any particular spiritual, emotional, or life outcome from use of the App.4. Accounts and Security
To use certain features, you may need to create an account. You agree to provide accurate information and keep it current.You are responsible for:Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Notifying us promptly at [email protected] of any unauthorized use
We may suspend or terminate your account if we believe you have violated these Terms or pose a risk to the Service or other users.5. User Content
The App may allow you to create, upload, store, or submit content such as journal entries, prayer requests, notes, highlights, bookmarks, and similar materials (“User Content”).You retain ownership of your User Content. However, by submitting User Content, you grant Baiano Co. a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and process your User Content solely to operate, maintain, improve, and provide the Service.You represent and warrant that:You own or have the rights to your User Content
Your User Content does not violate any law or third-party rights
Your User Content is not harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable
We may remove or disable access to User Content at any time if we believe it violates these Terms or applicable law.6. Acceptable Use
You agree not to:Use the App for any unlawful purpose
Attempt to gain unauthorized access to the App, accounts, or systems
Reverse engineer, decompile, or attempt to extract source code except where permitted by law
Interfere with or disrupt the App or servers
Use automated means (bots, scrapers, etc.) without our written consent
Upload malware or harmful code
Impersonate any person or entity
Use the App to harass, abuse, or harm others
We may investigate violations and cooperate with law enforcement as required.7. Intellectual Property
The App and all content provided by Baiano Co.—including text, graphics, logos, UI, software, plans, prayers, and compilations (excluding your User Content and third-party licensed materials)—are owned by Baiano Co. or its licensors and are protected by intellectual property laws.Limited license: We grant you a personal, non-exclusive, non-transferable, revocable license to use the App for your private, non-commercial use in accordance with these Terms.You may not copy, modify, distribute, sell, lease, or create derivative works from the App or our content except as expressly permitted.Bible text: Scripture content may be subject to third-party copyrights or licensing. You may use in-app Bible text only as permitted within the App.8. Third-Party Services
The App may rely on third-party services (e.g., hosting, authentication, cloud storage, text-to-speech, app store platforms). Your use of those services may be subject to their terms and privacy policies.Baiano Co. is not responsible for third-party services and does not endorse them. We make no warranties regarding their availability, accuracy, or security.9. Subscriptions, Trials, and Payments (If Applicable)
If the App offers paid subscriptions, free trials, or in-app purchases:Pricing, billing cycles, and features will be disclosed at purchase
Payments are processed by the applicable app store (Apple App Store, Google Play, etc.)
Subscriptions may auto-renew unless canceled through your app store account settings before the renewal date
Refunds are handled according to the app store’s policies unless otherwise required by law
We may change pricing or features with notice where required
Free trials: If a free trial is offered, you may be charged when the trial ends unless you cancel before it ends, as disclosed at signup.10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.BAIANO CO. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.We do not warrant that:The App will be uninterrupted, secure, or error-free
Defects will be corrected
Content is complete, accurate, or current
Results from use of the App will meet your expectations
You use the App at your own risk.11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:IN NO EVENT SHALL BAIANO CO. LLC, ITS OWNERS, OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.12. Indemnification
You agree to defend, indemnify, and hold harmless Baiano Co. LLC and its owners, members, officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:Your use of the App
Your User Content
Your violation of these Terms
Your violation of any law or third-party rights
13. Termination
We may suspend or terminate your access to the App at any time, with or without notice, for any reason, including violation of these Terms.Upon termination, your right to use the App ends immediately. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and dispute resolution) will survive termination.You may stop using the App at any time and may request account deletion as described in our Privacy Policy.14. Dispute Resolution; Arbitration; Class Action Waiver

Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.Binding arbitration
Except for disputes that qualify for small claims court or injunctive relief for intellectual property misuse, any dispute arising out of or relating to these Terms or the App shall be resolved by binding arbitration on an individual basis, not in court.Arbitration shall be administered by a recognized arbitration provider under its consumer rules. The arbitrator’s decision shall be final and binding.Class action waiver
YOU AND BAIANO CO. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.If this class action waiver is found unenforceable, the arbitration agreement may be voidable as to that dispute.Opt-out
You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected] with subject line “Arbitration Opt-Out” and your account email.15. Governing Law
These Terms are governed by the laws of the state in which Baiano Co. LLC is organized, without regard to conflict-of-law principles, except where preempted by applicable federal law.16. Changes to These Terms
We may update these Terms at any time. We will post the updated Terms with a new “Last Updated” date. Continued use of the App after changes become effective constitutes acceptance of the revised Terms.If you do not agree to updated Terms, you must stop using the App.17. Miscellaneous
Entire agreement: These Terms and our Privacy Policy constitute the entire agreement regarding the App.
Severability: If any provision is unenforceable, the remainder remains in effect.
No waiver: Failure to enforce a provision is not a waiver.
Assignment: You may not assign these Terms without our consent. We may assign them freely.
Force majeure: We are not liable for delays or failures due to events beyond our reasonable control.
